Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Credit Veto Africa platform, including our mobile application, website, and all related services (collectively, the "Platform"), operated by Credit Veto Africa, a subsidiary of Thelix Holding. By accessing or using the Platform, creating an account, or submitting any information, you enter into a legally binding agreement with Credit Veto Africa and confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any part of these Terms, you must not access or use the Platform.

Definitions

For the purposes of these Terms, the following definitions apply: • "Platform" means the Credit Veto Africa mobile application, website, and all associated services. • "User" / "you" means any individual who accesses, registers, or uses the Credit Veto Platform. • "Credit Veto" / "we" / "us" means Credit Veto Africa, a subsidiary of Thelix Holding. • "Veto Score" means the behavioural financial score generated by Credit Veto based on your financial activity and the Veto Trust Index (VTI). • "Credit Visibility Report" means the document summarising your financial behaviour and Veto Score. • "VTI" (Veto Trust Index) means the proprietary scoring algorithm used to evaluate your financial behaviour. • "Lender" means any financial institution, microfinance provider, or third party who is onboarded as a lending partner on CreditVeto Africa. • "Agreement" means these Terms of Service together with any other policies incorporated by reference, including the Privacy Policy.

About Credit Veto Africa

Credit Veto Africa is a financial technology platform that helps individuals understand, build, and demonstrate their financial reliability using behavioural financial data. It operates as a subsidiary of Thelix Holding. Our services include: • Bills payment, and analysis of bill payments, rent, airtime, digital wallet activity, and account behaviour • Generation of a Veto Score (300–850) and Credit Visibility Report • Personalised behavioural insights and guidance to improve financial reliability Important: Credit Veto does not provide loans, financial guarantees, or make lending decisions. The platform is for informational and educational purposes only.

Eligibility

To register and use Credit Veto Africa, you must: • Be at least 18 years of age • Provide accurate, complete, and truthful information during registration • Comply with all applicable laws and regulations of Nigeria • Use the platform for lawful personal or business purposes only Credit Veto reserves the right to suspend or terminate any account found in violation of these conditions, without prior notice.

Account Responsibilities

By creating an account, you agree to: • Provide accurate and complete information during and after registration • Keep your login credentials confidential and not share them with any third party • Notify Credit Veto immediately upon becoming aware of any unauthorised access to your account • Accept sole responsibility for all activities conducted through your account

Credit Scoring & Reports

Your Veto Score is calculated using our proprietary Veto Trust Index (VTI) algorithm, which evaluates the following factors:

The Veto Score is a behavioural financial assessment only. It does not replace traditional credit bureau scores, does not guarantee loan approvals, and may be evaluated differently by financial institutions.

Sharing Your Score with Lenders

By registering on the platform, you consent to Credit Veto sharing your Veto Score and Credit Visibility Report with lenders, landlords, employers, and other financial service providers for the purpose of evaluating your financial reliability.

Prohibited Activities

Users must not: • Provide false, misleading, or fraudulent information at any stage of account use • Attempt to manipulate, game, or artificially inflate their Veto Score or Credit Report • Create duplicate or fraudulent accounts • Misrepresent, alter, or fraudulently use their Credit Visibility Report when presenting it to any Lender or third party • Reverse engineer, copy, or reproduce any part of the Credit Veto scoring methodology or platform Violation of any of the above may result in immediate suspension or permanent termination of your account and, where applicable, referral to relevant authorities.

Limitation of Liability

To the maximum extent permitted under Nigerian law, Credit Veto shall not be liable for: • Financial decisions made by lenders or any third party based on your Veto Score or Credit Report • Denial of credit, loans, tenancy, or any financial service • Losses of any kind arising from reliance on your Veto Score or Credit Visibility Report • Service interruptions, data transmission errors, or platform downtime Users remain solely responsible for all financial decisions they make, with or without reference to their Veto Score.

Service Availability & Changes

Credit Veto reserves the right to modify, suspend, or discontinue any part of the platform at any time. We do not guarantee uninterrupted or error-free access and will endeavour to provide reasonable advance notice of significant changes. This Agreement may be updated periodically. We will notify you via the platform or by email at least 14 days before they take effect. Continued use of the platform constitutes acceptance of the revised terms.

Governing Law & Dispute Resolution

This Agreement is governed by the laws of the Federal Republic of Nigeria. In the event of a dispute, the parties shall first attempt resolution amicably through direct communication. If unresolved within 30 days, the dispute shall be referred to arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act (as amended).
